Terms of Service

1. Agreement to Terms

By accessing or using the services provided by JS Galactic (“Company,” “we,” “us,” or “our”), a division of JS Holdings Ltd, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not access or use our services.

2. Services

JS Galactic provides enterprise software engineering, consulting, and advisory services including but not limited to custom software development, cybersecurity, fintech solutions, AI and automation, cloud infrastructure, and technical leadership. The specific scope, deliverables, and terms of each engagement are defined in separate Statements of Work (“SOW”) or service agreements executed between the parties.

3. Engagement Terms

All client engagements are governed by individual service agreements or SOWs which take precedence over these general Terms where they conflict. Engagements may include fixed-scope projects, retainer arrangements, dedicated engineering pods, or advisory services as agreed in writing.

4. Intellectual Property

Unless otherwise agreed in the applicable SOW, all intellectual property rights in custom software developed specifically for a client shall transfer to the client upon full payment. JS Galactic retains ownership of all pre-existing tools, libraries, methodologies, and frameworks (“Company IP”) used in the delivery of services. Where Company IP is incorporated into client deliverables, the client receives a perpetual, non-exclusive license to use such Company IP as part of the delivered solution.

5. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary or sensitive information disclosed during the course of an engagement. Non-Disclosure Agreements (“NDAs”) are standard practice and will be executed prior to the exchange of any confidential information. Confidentiality obligations survive the termination of any engagement.

6. Payment Terms

Payment terms are specified in individual SOWs or service agreements. Unless otherwise agreed, invoices are due within thirty (30) days of issuance. Late payments may incur interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. JS Galactic reserves the right to suspend services if payments are more than thirty (30) days overdue.

7. Warranties and Disclaimers

JS Galactic warrants that services will be performed in a professional and workmanlike manner consistent with generally accepted industry standards. Except as expressly stated in an SOW, all services are provided “as is” without any other warranties, express or implied, including but not limited to implied warranties of merchantability or fitness for a particular purpose.

8. Limitation of Liability

To the maximum extent permitted by applicable law, JS Galactic’s total liability arising out of or in connection with any engagement shall not exceed the fees paid by the client for the specific engagement giving rise to the claim. In no event shall JS Galactic be liable for any indirect, incidental, special, consequential, or punitive damages.

9. Termination

Either party may terminate an engagement as specified in the applicable SOW. In the absence of specific termination provisions, either party may terminate with thirty (30) days written notice. Upon termination, the client shall pay for all services performed and expenses incurred up to the effective date of termination.

10. Data Protection

JS Galactic processes personal data in accordance with applicable data protection laws, including the Kenya Data Protection Act, 2019, and the EU General Data Protection Regulation (GDPR) where applicable. For details on how we collect and process personal data, please refer to our Privacy Policy.

11. Use of Website

This website is provided for informational purposes. You agree not to use the website for any unlawful purpose, attempt to gain unauthorized access to any systems, or interfere with the proper functioning of the website. All content on this website, including text, graphics, logos, and software, is the property of JS Galactic or its licensors and is protected by intellectual property laws.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Kenya. Any disputes arising from these Terms or any engagement shall be subject to the exclusive jurisdiction of the courts of Nairobi, Kenya, unless otherwise agreed in the applicable SOW.

13. Changes to Terms

JS Galactic reserves the right to modify these Terms at any time. Changes will be effective upon posting to this website. Your continued use of our services after such changes constitutes acceptance of the modified Terms.
